1. Acceptance of Terms
By accessing or using CWAI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use the Service.
These Terms constitute a legally binding agreement between you ("Customer", "you", "your") and CWAI Inc. ("CWAI", "we", "us", "our").
If you're accepting on behalf of an organization, you represent you have authority to bind that organization.
2. Service Description
CWAI provides a unified AI gateway that:
Routes requests to multiple LLM providers (OpenAI, Anthropic, Google, etc.) via a single API
Enforces per-tenant token budgets, rate limits, and sliding-window quotas
Provides usage analytics, billing integration, and license-key authentication
Offers a VS Code extension for in-editor AI assistance
CWAI is a proxy service — we do not train models, host model weights, or generate completions ourselves. Requests flow: Your Editor → CWAI Gateway → Model Provider → CWAI Gateway → You.
3. Accounts & Licenses
3.1 Account Registration
You must provide accurate, complete registration information
You're responsible for maintaining credential confidentiality
Notify us immediately of any unauthorized access
One account per person/organization (no duplicate free-tier accounts)
3.2 License Keys
Each tenant receives one or more license keys (format: cwai_live_...)
Keys authenticate your tenant and provision token budgets
Keys are secrets — treat them like passwords
Rotate keys anytime in the dashboard; old keys revoke immediately
You're responsible for all usage under your keys
3.3 Team Members
Invite team members to your tenant. They receive their own login but share the tenant's license keys, budgets, and billing. You control member roles (Admin, Member, Viewer).
4. Billing & Payments
4.1 Plans & Pricing
Current plans: Standard, Professional, Enterprise. Pricing at cwai.dev/pricing. We may change prices with 30 days' notice for existing customers.
4.2 Billing Cycle
Monthly billing in advance
Prorated charges for mid-cycle plan changes
Invoices available in dashboard; receipts emailed
4.3 Payment Processing
Payments processed by Stripe. By subscribing, you agree to Stripe's Customer Agreement. We never see full card numbers.
Upgrade your plan or wait for budget reset to restore full throughput
Enterprise plans: custom budgets, soft limits with alerts
4.5 Refunds
Refunds at our discretion. Generally: no refunds for partial months. Contact billing@cwai.dev for exceptional circumstances.
4.6 Taxes
Prices exclude applicable taxes (VAT, GST, sales tax). You're responsible for taxes. Stripe calculates/collects automatically based on your billing address.
5. Acceptable Use
You agree not to use CWAI for:
Illegal activities or content violating laws/regulations
Generating hate speech, harassment, violence, or illegal acts
Spam, phishing, malware, or security exploitation
Reverse engineering, decompiling, or extracting model weights
Automated scraping, bulk extraction, or reselling API access
Circumventing rate limits, budgets, or license controls
Impersonation, fraud, or identity deception
Content violating third-party IP rights
High-risk domains (medical diagnosis, legal advice, financial advice) without proper disclaimers and human review
We may suspend/terminate for violations. No refund for terminated accounts.
6. Intellectual Property
6.1 CWAI IP
All rights in the Service (software, APIs, documentation, trademarks, trade secrets) remain with CWAI. These Terms grant no IP rights except the limited license below.
6.2 Your Content
You retain all rights to your prompts, code, and data. By using the Service, you grant CWAI a limited, non-exclusive license to process your content solely to provide the Service.
6.3 Model Provider Terms
Your use of underlying models is subject to each provider's terms (OpenAI, Anthropic, Google, etc.). You're responsible for compliance. CWAI passes through provider policies where applicable.
6.4 Feedback
Feedback you provide is voluntary and we may use it freely without obligation.
7. Disclaimers & Limitations of Liability
7.1 Service Provided "As Is"
CWAI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UPTIME.
7.2 Model Output Disclaimer
AI MODEL OUTPUTS ARE GENERATED BY THIRD-PARTY PROVIDERS. CWAI DOES NOT WARRANT ACCURACY, RELIABILITY, SAFETY, OR LEGALITY OF OUTPUTS. YOU ARE RESPONSIBLE FOR REVIEWING ALL AI-GENERATED CONTENT BEFORE USE.
7.3 No Liability for Model Provider Actions
CWAI IS NOT LIABLE FOR: model provider downtime, policy changes, price changes, output quality, content filtering decisions, or API changes.
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
CWAI'S TOTAL LIABILITY ≤ AMOUNT PAID BY YOU IN PRECEDING 12 MONTHS (OR $100 IF NONE)
NO LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
NO LIABILITY FOR DATA LOSS, LOST PROFITS, BUSINESS INTERRUPTION
Some jurisdictions don't allow these limitations; they apply to the maximum extent permitted.
8. Indemnification
You agree to indemnify, defend, and hold harmless CWAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
Your use of the Service in violation of these Terms
Your content, prompts, or data submitted through the Service
Your violation of any third-party rights or applicable law
Your negligence or willful misconduct
9. Termination
9.1 By You
Cancel anytime in the dashboard. Service continues until period end. No prorated refunds.
9.2 By CWAI
We may suspend/terminate for:
Material breach of these Terms (7-day cure notice for curable breaches)
Surviving sections: IP, Disclaimers, Indemnification, Governing Law
10. Changes to Terms
We may modify these Terms. Material changes: 30 days' notice via email and dashboard banner. Continued use after effective date = acceptance. Version history on GitHub.
11. Governing Law & Disputes
Governing Law: State of California, USA (excluding conflict-of-law rules)
Venue: State/federal courts in San Francisco County, California
Arbitration: For disputes < $10,000, either party may elect binding arbitration (JAMS, San Francisco)
Class Action Waiver: Disputes resolved individually, not as class/collective actions
